【摘要】 证券场外交易是伴随着证券的产生及证券市场的发育而逐步产生的。为了满足有价证券的交易需要，场外交易应运而生。证券品种、规模的扩大和证券市场的不断发展，推动了证券交易所的产生。但是，单纯的证券交易所仍然满足不了证券多品种交易的要求，证券场外交易作为证券交易所的补充，发挥着越来越大的作用。证券场外交易市场与证券交易所像两道风景线，构成了证券交易市场的完整画面。 本文采用比较研究的研究方式，主要参照国外场外交易的法律制度，从美、日、我国台湾地区场外交易的发展、监管体制、监管制度等方面的比较研究入手，结合我国场外交易的实践和相应立法，对场外交易及其法律制度进行了系统的阐述和研究。 本文主要从四个方面论述：第一部分概括论述场外交易的发展、含义、交易对象及交易程序；第二部分着重分析世界主要场外交易市场即美、日、台场外交易的发展及立法监管，在此基础上对各自的监管体制和监管制度进行比较研究，它们较为完善的法律制度值得我国借鉴；第三部分概括介绍了我国场外交易市场的起伏发展、立法实践和存在问题，并与上述场外交易市场进行比较分析，寻找差距和不足；第四部分是本文的主要内容，通过对我国建立新型场外交易市场的必要性分析，提出建立我国场外交易市场的构想，同时对我国场外交易市场的监管体制、监管制度和《证券法》的修改，提出了几点不太成熟的看法，希望能对我国建立完善的资本市场体系尽一点力量。更多还原

【Abstract】 Security over the counter is based on appearance of security and development of security market. The appearance of OTC (Over the Counter) is adapted to the dealing of worthy security. Because of the increase in types and scale about security and development of security market, stock exchange was produced. But the merely stock exchange can’t satisfy the need of multi-types exchange .OTC is playing an important role in this.Research with contrast is used in this article. Legal system of OTC in such foreign countries as American, Japan gives the reference to the research. At the same time, the practice and legislation of Chinese OTC are helpful to my research.It includes four parts in this article: the first is about the development, implication, exchange and exchange procedure. The second mostly analyze the development of OTC and legislative supervision of some developed countries. The third introduce the development, legislative practice and existed problems of our country and contrast between china and above countries. The forth is the emphasis of this article. It analyzes the necessity of establishment of our new OTC market. It provides some suggestion about establishment and amendment to our supervision system and supervision regulation and Security law.
