【摘要】 自1992年以来，建立现代企业制度成为我国经济体制改革的重点。这一改革中，治理结构的确立、规范及有效运转是关键，又是难点。当前，由于多项经济体制尚处在转轨之中，规章制度不够完善，运作经验不够丰富，又加之传统问题的困绕，致使治理结构中各组成要素之间的关系不规范，未能起到应有的作用。因此，为了使经济体制改革顺利进行，有必要对公司治理结构进行创新。在此，本文从公司治理结构的涵义出发，在介绍了我国当前上市公司治理结构的现状后，提出了一种全新的公司治理结构模式，以期解决上市公司治理结构中存在的一些问题。本文的结构如下： 首先，本文从公司治理结构的涵义出发，确定了公司治理结构应体现利益相关者利益的总目标。同时分析了我国上市公司治理结构不健全的现状，并以银广夏造假案为例，说明了公司治理结构不健全的危害，指出了进行公司治理结构创新的迫切性。 接着，在介绍了国外几种常见的公司治理结构模式后，提出了一种适合我国国情的公司治理结构模式，即共同治理与相机治理相结合的公司治理结构模式，并给出了该模式的具体设计方法。 随后，为了确保该模式真正发挥作用，从内部治理与外部治理两个方面提出了完善我国上市公司治理结构的对策。 最后，分析了公司治理结构对企业财务目标、资本结构、投资政策、股利政策的影响，指出健全的公司治理结构是作出正确财务决策的关键。更多还原

【Abstract】 From 1992,building up the modern enterprise system is the crucial point of financial structural reform. In the reform, building up, standardizing and working efficiently of governance structure are both key and nodus. Now, some immature financial system, imperfect regulations system and constitution of governance structure are the reasons that corporate governance is not working efficiently. Then, innovation of the governance structure is no time to delay .First, the paper introduces the meaning of corporate governance and thinks management sets should be arranged with the stakeholders in mind. In the mean time, analyses imperfect condition of corporate governance in our joint-stock company. And take yingguangxia for example , explain the harm of imperfect corporate governance.Second, the paper introduces some model of corporate governance structure ,and puts forward a new model of corporate governance structure, namely the model that combines co-governance with contingent governance.Third, the paper puts forward strategy to solve the imperfect condition of corporate governance in joint-stock company of our country.Last , the paper analyses that corporate governance influence the financial target, investment policy and dividend policy etc. and renders perfect corporate governance structure is the key to work out accurate financial decision-making.更多还原
