【摘要】 投资银行是证券市场的重要参与主体，是连接筹资人和投资人的桥梁，是铰合证券市场各个环节的纽带，其行为规范和创新程度，直接关系到证券市场的健康和稳定运行。本文借鉴学术界已有的研究成果，从投资银行理论的考察入手，通过实证研究和规范研究，说明改革开放以来我国投资银行在社会主义市场经济中的作用，剖析了当前我国投资银行的主要组织形式——证券公司存在的不规范和缺陷，并针对性地提出投资银行规范和创新的对策建议。最后，本文探讨了当前与投资银行发展状况相适应的经营模式、组织模式和监管模式。更多还原

【Abstract】 Investment banking, a major participant in securities business, bridges fund-raisers and investors and links all parts of securities business. Its criteria of conduct and choice of patterns are of vital importance to the steady and prosperous running of securities business. On the basis of research achievement in academic circles, this paper starts with the study of theories for investment banking and illustrates, through positive and normative research, the functions of Chinese investment banking in socialist market economy since the reform and opening-up. It explores the inconformity to the standard and shortcomings of securities company梐 key form of investment banking and puts forward accordingly strategies and suggestions for standardizing and innovating investment banking.This paper, at last, expounds managing, organizing and administrating patterns conforming to the present status of investment banking.更多还原
