【摘要】 依传统民法理论，担保合同是从属性的合同。但自20世纪70年代以来，国际贸易与融资的实践中产生了一种新型的、独立的担保方式——独立担保。这种担保方式一经出现，就受到广泛的欢迎。目前，在国际担保业务中，独立担保已成为上流，从属性担保则难于为人接受。为使独立担保得到更快的发展，联合国贸法会还制定了统一的《独立担保与备用信用证公约》。该公约已于2000年1月1日生效。这种新型担保方式的显著特点是：担保独立存在，不受基础合同变更或无效的影响；保证人的责任也不取决于基础合同的履行与否，而是取决于债权人是否提出了符合担保书要求的单据。但独立担保的独立性并非是对担保从属性的否认。“无从属性者，即无保证可言。” 独立担保作为一项人的保证，同样具有从属性：一方面，使用独立担保的目的在于担保基础合同的履行，理论上说，一旦基础合同履行完毕，独立担保的效力就要终止；另一方面，如果债权人没有履行其基础义务而要求付款，担保人就可援引基础合同，以欺诈为由拒付。因而，独立担保是一种形式上独立，实质上从属的担保，其独立性仍为相对独立。本文通过研究国际贸易中独立担保的相关法律问题，力图明晰独立担保业务实际操作中产生的各种法律关系，构建出独立担保的法律框架，以期完善我国这方面相关的法律制度。更多还原

【Abstract】 According to the traditional civil law theory, guarantee is accessory. But the recent international commercial transaction created a new guarantee: independent guarantee, which is very popular in the international guarantee transaction. The convention on independent guarantee and stand-by letter of credit has come into force in Jan.l,2000,whichis drafted by UNCITRAL. The main feature of independent guarantee is its independence, which means that the guarantee is not dependent upon existence or validity of any underlying transaction and not subject to any term or condition not appearing in the letter of guarantee. But the independence is not absolute. No accessory, no guarantee. As a kind of personal security, independent guarantee is also accessory, in that it will be terminated once the underlying transaction is performed and in some case guarantor will be discharged his obligation on term of fraud in the underlying transaction. So independent guarantee is independent in form, accessory in substance. In order to consummate the relating law system in our country, and construct the frame of the independent guarantee, the thesis make an effort to probe kinds of legal relations rising from actual operations on the independent guarantee definitely ,by study on the problems concerned.更多还原
