直属航空运输企业确立投资主体地位的研究

【摘要】 企业作为投融资体系中的重要组成部分，是否具备投资主体地位，不仅关系到投资项目的成败，也关系到企业生存乃至国民经济的发展。本文通过分析直属航空运输企业的现状和投资中出现的种种问题，认为其不具备投资主体地位是各种投资问题的症结所在。而直属航空运输企业中占绝对控制地位的国有股所有者不到位，以及法人治理结构残缺导致了其投资主体地位不到位。所有者不到位问题涉及到宏观政策，本文试图引入国有资本“授权经营”的三级管理模式，将直属航空运输企业中的三大集团公司改造成纯国有股份的公司，受国务院资产委员会的委托，对10家直属航空运输企业参股经营，来保证直属航空运输企业中的国有股的所有者切实到位。同时企业本身需按照建立现代企业制度的要求，完善法人治理结构，着重于加快重组的进度，发挥董事会作为常设最高决策机构的作用，优化代理人的“激励—约束相容”机制，利用国家正准备实施的国有股减持的契机，实现股权结构的多元化、合理化，实现政府主导型治理向法人主导型治理的转变，使企业投资在具备完善的决策、监督机制的前提下，能体现股东的意愿。文章的最后以南方航空股份有限公司为例，提出了直属航空运输企业确立投资主体地位的思路和建议。更多还原

【Abstract】 Whether the Entrepreneur, which is an important constituent of investing-funding system, occupies the primary position in investing is not only concerned with fate of the investing program, but also concerned with the existence of the entrepreneur even with the development of national economy. Through an analysis of the status quo of national Aviation transport Corporation and vanions problems in investing, this thesis points out that main causes of all kinds of problems lies in insufficient. Actually the insufficient possession of national shareholder which play a controlling role in national Aviation Transport Corporations, and the incompleteness of legal person administering constructure lead to its lost of primary position in investing. Insufficient possession of shareholders involves macropolicy. This paper attempts to introduce the three-level management framework of "authorized managing" national capital, and transform three major groups in national Aviation Transport Corporations to pure national-stock companies, so as to ensure the sufficient possession of primary position of national-stock holders of national Aviation Transport Corporations. White the entrepreneur itself should meet the requirements of constructing modern entrepreneur system, improve legal-person administering constructure, pay attention to accelerating reconstitution, play the role of highest poticy-making body to board of directors, optimize the agent’s stimulating-restraining- toleration" organism, make use of the opportunity of pending implementation of decreasing national stocks, realize the diversifying and rationalizing of stock-authority constructure, realized the conversion form government-oriented administering to legal-person-oriented administering, so that on the condition of possessing improved policy-making and monitoring organism, the investment of the entrepreneur will agree with the shareholders. At last this article takes China southern Airlines as the sample, puts forward the thoughts and suggestions about how to establish primary position for national Aviation Transport Entrepreneurs.更多还原
