外商控股企业的中方利益保护研究

【摘要】 坚持积极、合理、有效地利用外资是中国的一项基本国策。改革开放以来，中国利用外资取得了巨大成绩，外商投入的大量资金、技术和管理经验，促进了中国的经济发展和产业结构调整，增加了劳动就业和财政收入，推进了社会主义市场经济体制的建立和国有企业经营机制的转换，加快了中国与国际经济的接轨，高速提升了中国技术平台、管理平台以及生活平台，提高了中国管理人员的综合素质。但是中国在利用外商直接投资也存在很多问题，如何保持我国经济自主性，保证民族经济得以健康发展，更加之近期亚洲经济危机的爆发，使得经济安全更是成为我国政府部门、经济界、学术界、企业界共同关注的一个焦点问题，越来越多的人员从切身经历中体会到经济安全的重要性。 本人从中国外商控股企业中方利益保护现状分析着手，结合DSF公司中方利益保护的成功经验与失败教训，针对目前外商控股企业中方利益受损表现形式及其原因进行深入剖析，认为导致外商控股企业中方利益受损有项目决策失误、资本流失、经营管理不善、中方人员维权意识不足等表现形式。通过这些外在表现形式，采用逻辑推理、理论联系实际、实践论证。统计分析等方法进行强化分析，并结合国际经济法、外国投资法、博弈论、及我国第二代国家领导人邓小平同志的利用外资理论，本人提出要想控制好外商直接投资，引导其为中国社会主义经济发展服务，尤其是外商控股企业如何保护中方利益，应主要从国家宏观调控、企业非股权控制二个主要方面加以预见、防范，化解经济风险，维护国家经济安全。 首先是在国家宏观调控方面，在法律法规建立、基础设施建设日趋完备的前提下，在致力于改善投资软环境，大量吸引外资的同时，还必须从提高国家经济安全系数，防范外商垄断行为着手，逐步强化、完善国家引进外商直接投资政策。其次，在企业的非股权控制方面，通过提高管理人员不断更新知识的能力和按照国际标准行为准则办事的能力，来强化企业经营管理及中方员工维权意识，做好企业的非股权控制——合营合同控制、组织能力控制、出资方式控制、外购外销控制、劳动工资控制，从而使中方利益得以保护。另外，在引进外资时，合资伙伴的选择也极为重要。 我国利用外资是一个从无到有，从少到多的渐进过程，外商控股企业中方利益的保护也是一个不断充实、不断完善的过程，其目的就是使外商控股企业在我国得到规范、健康的发展。更多还原

【Abstract】 It is one of the basic state policies in China to utilize foreign investment positively, reasonably and effectively. Since the reform and opening-up, China has got tremendous achievement in utilizing foreign investment. The great capital, technology and management experience brought by foreign investors have boosted China economic development and industrial restructuring, created employment opportunities, increased fiscal income, accelerated the establishment of socialist market economy, improved the transfer of state owned enterprise management mechanism, quickened the interconnection with global economy, and elevated Chinese technical, management and living standard and highly enhanced the comprehensive ability of Chinese management team. However, China also has a lot of problems in utilizing foreign direct investment, which attracts much concerns as for how to maintain economic independence, how to guarantee the sound development of national economy especially recently economic crisis happened in Asia and the economic crisis has become concerns for Chinese government, economic and academic institutes and enterprises. More and more people come to realize the importance of economic security from their own experience. I analyzed the current status on the protection of Chinese party’s interest in Sino-foreign enterprise where the foreign party holds the dominant share, combined the success and lessons on the protection of Chinese party’s interest in DSF company to conduct a deep investigation into the actual status of the harm done to Chinese party interest in the enterprise where the foreign party holds the dominant share and the relevant reasons and draw the conclusion that the reasons resulting in the harm to Chinese party’s interest in the enterprise where the foreign party holds the dominant share include wrong decision-making for the project, asset losses, improper management and insufficient conscience in self-protection from Chinese party and etc. This thesis gives a thorough analysis through logic induction, combing theory with practice, practical experimentation and statistic analysis based on the above mentioned reasons based on international ecoiiomic law, foreign investment law. game theory and the theory put forward the Comrade Deng Xiaoping, the second-generation state leader. on utilizing Foreign i nstrnent. I concluded that for better control of foreign direct investment and orient it to serve for the socialist economic growth, especially considering how to protect the Chinese party’s interest in the enterprise where the foreign party holds the dominant share, we shall adopt state macro-control and non-share control inside the enterprise to predict, prevent and solve economic risk and protect state economic security. Firstly, as for state macro-control, under the precondition of establishing laws and regulations and furthur improving infrastructure, besides boosting investment soft environment and attracting more investment, we shall furthur strengthen and improve the policy for China in introducing foreign direct investment by enhancing the state economic security coefficient to prevent foreign investor抯 monopoly. Secondly, as for the non-share control, we shall furthur improve the management staffis ability in knowledge renewing and the ability in performing duties in accordance with international behavior standard to strengthen the conscience in self-protection from management officers arid staff in Chinese更多还原
