【摘要】 土地承包经营权产生之初，促进了我国农地使用制度的改革。但是，由于土地承包经营权本身存在的缺陷，如集体的权利过大而土地承包人的权利很小等，土地承包经营权已经越来越不能适应新形势下经济发展的需要。尤其是在建立社会主义市场经济体制的过程中，土地的分散经营与规模经营之间的矛盾，土地承包经营权的债权性质与土地承包经营权物权化为农地使用权的需要之间的矛盾等，已经越来越不能调和。同时，面对我国加入WTO的机遇与挑战，土地承包经营权如何“增创新优势，更上一层楼”是一个不得不研究的问题。土地承包经营权的改革十分紧迫。 为此，笔者针对土地承包经营权本身的缺陷，以及流转中存在的一些重要的法律问题进行了初略的研究；并重点针对土地承包经营权流转中存在的特殊问题进行了较为详细的论述。本文的主要内容分为五个部分：（一）土地承包经营权及其流转的法律内涵；（二）土地承包经营权流转的必要性分析；（三）土地承包经营权流转的方式研究；（四）土地承包经营权流转中的特殊问题；（五）解决土地承包经营权流转中的法律问题的对策。笔者认为，土地承包经营权物权化为农地使用权是目前解决这些问题的最重要的法律措施。除此之外，政府采取相应的配套措施进行农业和农村改革也是非常必要的。更多还原

【Abstract】 Since Land Contract and Operation Rights was born, it promoted the reform of land use system in our country. But, because Land Contract and Operation Rights itself has defect, it can抰 fulfill the need for economical development. Specially, within the process that Socialism Market Economy System is being built, the contradiction between the nature that Land Contract and Operation Rights is Obligatory Right and the need that Land Contract and Operation Rights should be Real Right, between personal operation and industrial operation on lands, and so on, is not coordinated. So, the reform of Land Contract and Operation Rights is very necessary. For that, I research some important legal questions on Land Contract and Operation Rights, such as the transfer of Land Contract and Operation Rights. I think, the most important way which people can cope with the questions is that Land Contract and Operation Rights should be Real Right, that is, Agricultural Land Use Rights.更多还原
