【摘要】 预重整制度在困境企业拯救中的独特价值，逐渐为理论界和实务界所关注。我国司法实践中预重整多采用法院引导模式，由法院对预重整申请进行实质审查。随着困境企业拯救观念的产生与扩散，自由协商与司法强制融合的混合拯救机制在世界范围内蓬勃发展，且无统一的形制，中国式预重整亦可具有独特品格。预重整制度具有降低司法成本、减少破产污名等优势，可以因应我国实践的需求。在破产法修订的背景下，应当以我国实践中广泛采用的法院引导模式为基础，妥善设计适用对象、预重整期间、预重整辅助人、保护措施、司法审查、制度衔接等内容。更多还原

【Abstract】 The unique value of the pre-reorganization in the rescue of enterprises in difficulties has gradually garnered attention from both academia and practice. In the judicial practice of our country,pre-reorganization mostly adopts the mode of court guidance,and the court conducts substantive examination of the application for pre-reorganization. With the emergence and diffusion of the rescue concept of troubled enterprises,the hybrid rescue mechanism of free negotiation and judicial coercion is flourishing in the world,and there is no uniform form and system,and the Chinese style of pre-reorganization can also have a unique character. The pre-reorganization has the advantages of reducing the judicial cost and the stigma of bankruptcy,and can adapt to the practical needs of our country. Under the background of the revision of the bankruptcy law,we should properly design the applicable object,pre-reorganization period,pre-reorganization assistant,protection measures,judicial review,rule connection and other contents based on the widely adopted court guidance model in our practice.更多还原
