【摘要】 宁波和丰纺织股份有限公司（简称宁波和丰纱厂）号称近代宁波“工厂王”，并一度为浙江省最大的棉纺织企业。本文以1905～1949年宁波和丰纱厂为研究对象，通过梳理公司治理架构及运行情况，探讨公司治理成效及特点，努力呈现近代股份制这一外来企业制度在中国发展演变的真实面貌。深入研究和丰纱厂，不仅可以为研究近代中国股份制企业的发展历程提供一个有价值的个案，对于了解近代中国企业的发展特点与共性，总结近代企业成败的经验教训，也具有一定的学术价值；将为当代中国企业的发展与进步特别是现代企业制度的建立提供历史的启示。更多还原

【Abstract】 Ningbo Hefeng Textile Co., Ltd.(referred to as Ningbo Hefeng Cotton Mill) is known as the“factory king” of modern Ningbo and was once the largest cotton textile enterprise in Zhejiang Province. This paper takes Ningbo Hefeng Cotton Mill from 1905 to 1949 as the research object. By combing the corporate governance structure and its operation, this paper discusses the effectiveness and characteristics of corporate governance, and strives to present the real face of the development and evolution of modern joint-stock system in China. In-depth study of Hefeng Cotton Mill can not only provide a valuable case for the study of the development process of modern Chinese joint-stock enterprises, but also have certain academic value for understanding the development characteristics and commonness of modern Chinese enterprises and summarizing the experience and lessons of modern enterprises. It will also provide historical enlightenment for the development and progress of contemporary Chinese enterprises, especially the establishment of modern enterprise system.更多还原
