【摘要】 国有企业董事会建设是国有企业改革的重要内容,在这一改革的过程中,建立具有中国特色的外部董事制度还存在许多亟待研究和解决的问题。本文立足于此,应用"扎根理论"方法进行探索性研究,通过对9家国有企业的45名董事会成员进行深度访谈,归纳出外部董事特质对董事会决策绩效的影响模型,并提出了构建外部董事"人才库"和完善董事会沟通机制的建议。更多还原

【Abstract】 The construction of the board of State-owned Enterprises(SOEs) is a great revolution to better governance structure. In this process, developing an outside director policy with Chinese characteristic still has a lot of unresolved and unstudied problems. Based on this, we applied the Grounded Theory to explore research. By interviewing 45 board members in 9 SOEs, we established a research model of the effect of characteristics of outside directors on board decision performance and propose some advices such as building outside directors database, developing board information interact policy.更多还原
