【摘要】 特征性履行说离不开最密切联系原则的指导和补充,最密切联系原则也需要特征性履行说约束法官在运用最密切联系原则时过大的自由裁量权。最密切联系说是原则,特征性履行说是规则,特征性履行说是最密切联系原则的特例,适用范围有限。在特征性履行说的立法、司法实践中,也要在最密切联系原则指导下确定合同的特征性履行行为,在特征性履行说不适用的场合,要让法官径行运用最密切联系原则寻找准据法。在最密切联系原则的指导下,特征性履行场所应该是特征性履行方的惯常居所地或主营业地,而不能是特征性履行方的国籍国。更多还原

【Abstract】 The doctrine of characteristic performance cannot operate without the instruction and the supplement of the doctrine of the most significant relationship,the doctrine of the most significant relationship also needs the doctrine of characteristic performance to restrain the judge’s oversized discretionary powers when they use the doctrine of the most significant relationship.The doctrine of the most significant relationship is a principle,but the doctrine of characteristic performance is just a rule,the doctrine of characteristic performance is an exceptional case of the doctrine of the most significant relationship,and its applicable scope is limited.In the legislation and judicial practice of the doctrine of characteristic performance,the behaviors of the characteristic performance must be ascertained under the instruction of the doctrine of the most significant relationship,in the situation that the doctrine of characteristic performance is not suitable,the applicable law must be seeked freely by the judges.Under the instruction of the doctrine of the most significant relationship,the sites of the doctrine of characteristic performance should be supposed to be the regular residence or the main business place,but not the nationality country of the party of the doctrine of the characteristic performance.更多还原
