【摘要】 我国公司法对于公司瑕疵设立制度尚无完善的成体系的规定。鉴于瑕疵设立的公司对社会经济生活的消极影响,在借鉴其他国家立法及理论的基础上,研究适合我国国情的公司瑕疵设立制度有重要意义。笔者通过对公司瑕疵设立法律效力的比较和我国公司瑕疵设立制度现状的分析,提出如下建议:我国在公司瑕疵设立的效力上应采取公司瑕疵设立有效的一般原则;以不建立公司瑕疵设立无效制度为宜;明确规定公司瑕疵设立的行政撤销情形作为公司瑕疵设立有效原则的例外,并在此理念下进一步完善公司瑕疵设立制度的各项具体规定。更多还原

【Abstract】 We have no rule in system for a company which was founded with minor faults in our country.Because of the negative influence of the formation with flaws to society and economic,it will be very important to research a rule of the minor faults founded company for our country’s present condition on base of the other country’s theory and legal.In cross of compare the legal effect of the company of formation with flaws in our law’s present condition,I will give these advices: we should approve the formation with flaws is effective in law and should not to deny it;have a explicit provision that the administration cancels is a exception of the company of the formation with flaws;and under the guide of these theory we should make progress of a concrete provision for the company of formation with flaws.更多还原
