The independent directors system has been draw into the listed companies since 2001 in our country,but practice over the years has shown that such a system of independent directors doesn't only conflict with the functions of supervisors' boards,but also has so many defects in it such as lacking independence,not-enough diligence and not-establish effective incentive and restraint mechanisms and so on.So we must improve the independent directors system of our country in terms of mechanisms.
