【摘要】 中小股东权益保护是完善上市公司治理结构,促进我国证券市场健康发展的必然要求。我国《公司法》立法之初就明确规 定了其立法宗旨之一是保护股东的合法权益,但是由于我国公司制度建立时间不长,很多问题还处于探索阶段,对于小股东的保护 更是存在较大的空白,上市公司小股东权益保护问题,成为所有公司形式小股东保护问题中迫切性最强,涉及面最广的一个问题。就 借鉴其他国家相关立法,以强化对中小股东的权益保护,优化上市公司股东权利法律结构及法人治理结构。更多还原
