【Abstract】 This essay redesigns the transactional structure based on trust module, incorporating a package of schemes including open competition mechanism, strategic investors, risk sharing mechanism and EMBO combined with ESOP. Mixed ownership is oriented in terms of system arrangement, and long-term motivation mechanism is targeted in terms of governance structure design, in order to achieve the ultimate aim of enhancement of corporate governance structure.
