【摘要】 MBO作为一项经西方国家实践证明了的行之有效的制度,本身对中国国有企业的产权改革、国有经济的战略性改组、公司治理结构的完善以及经营者激励机制的建立等方面都具有着重要的战略意义和制度价值。但由于中国法律法规滞后、信息不对称、交易没有公开等原因,导致MBO过程中出现国有资产流失等问题。因此需要建立有效监管MBO的法律政策、相配套的市场机制及思维意识,推动国有企业改革。更多还原

【Abstract】 MBO has been approved to be an effective system in practices in western countries, which has great strategic significance and institutional values for carrying out reforms in the aspects of property right of state-owned enterprises, strategic reorganization of the national economy, bettering company’s administration structure and setting up operator’s incentive mechanism, etc. Due to some problems in laws and regulations, unbalanced information, and the unopenness of trade, there are losses of state assets in the process of MBO. Thus it is necessary to set up legal regulations, relevant market mechanism and awareness of the importance of MBO, so as to promote the reform in state-owned enterprises.更多还原
