【摘要】 一人公司作为一种新型的公司形态,一方面反映了现实社会的客观需要,另一方面对传统公司理念构成了极大的挑战。一人公司在国外已经得到了法律的逐渐认可,但我国公司法对一人公司未作规定,表现了立法的滞后性。文章对一人公司立法进行了经济学分析,为设计合理的一人公司相关具体制度提供了经济学理论支持。更多还原

【Abstract】 As a newest development of companies, one-man company is not only a demand from present-day society, but also a big challenge to conventional concept of companies. Though gradually acknowledged in foreign legislations, this new form of company is not at all covered by Chinese legislation so far. The paper gives an economic analysis of one-man company in an attempt to lend theoretical support to the prospective design of concrete legal systems concerning the new type of company.更多还原
