【Abstract】 From the striking problems that China’s corporations are confronted with in the transiting period, this paper analyzes the role identification of the board of directors in operation of a corporation, and expounds the necessity to strengthen and perfect the internal corporate governance by establishing and perfecting the board of directors. It proposes that it is necessary to introduce independence director into China and to establish and perfect the system of operation, and only under such circumstances can the corporations in our country be guaranteed with successful transition and steady development.更多还原
