【Abstract】 It has a very important realistic meaning to use the experience of the development of the good capital markets in the developed countries and set up China’s independent director’s market to perfect the inde- pendent director’s system. Starting with a discussion of the company’s management and the connotation and characteristic of the independent director’s system, this paper analyzes the successful experience of U.S.A.’s independent director’s system, then describes the current situation of China’s independent director, and puts forward the corresponding countermeasures on this basis.更多还原
