【Abstract】 Since the emergence of corporation, the formation of its capital system is always the core content of the corporative legislation in western countries. Although the design of corporation capital system maybe different in each country, they all try to seek the best equilibrium point between safety, benefit and fair as much as they can. Present corporation capital system in our country is a distinctive one, although the emergence of this corporation capital system has objective reasons, it is not scientific, rational and it is obviously lagging.
