企业控制权收益的激励效应分析
Benefiting from Stimulative Effect of Controlling Power
【摘要】 企业剩余控制权是企业的重要决策权。在现代股份制条件下,企业剩余控制权发生了从股东向经理手中的转移,经理由此获得了相应的控制权收益。控制权收益对于企业经理也具有一定的激励作用,但相对于剩余索取权来说,其激励效果并不持久和可靠。为此,我国国有企业应重新建立起剩余控制权与索取权的对应关系。
【Abstract】 Residual control over an enterprise is an important decision-making power. The modern corporate system is seeing a transition of this power from stockholders to the management with manager obtaining the corresponding benefit. Controlling power has some stimulating effect to managers, but relative to the residual claims, it is not as durable or reliable. Thus Chinese state-owned enterprises should set up anew a parallel relationship between the two.
