【摘要】 随着经济和公司制度的发展 ,一人公司为越来越多的国家立法所承认。但是关于一人公司能否列入公司“正统”的争论并未消停 ,并在一定程度上阻碍了它的发展。理论上 ,一人公司作为一种中间法人 ,享有独立的法人的地位 ;实践中 ,一人公司大量存在 ,完全禁绝绝无可能。因此 ,应当确认一人公司的合法地位 ,并加以积极的规范以趋利避害。更多还原

【Abstract】 With the development of economy and corporate system, one-member companies have been legally recognized in an increasing number of countries. However, there is an continuing debate about whether one-member companies can be counted companies in terms of "legitimism." Such debate, to some extent, holds them back. Theoretically, as an intermediate legal person, one-member company enjoys the status of an independent legal person; practically, there exist lots of one-member companies, and it is absolutely impossible to outlaw them.
