【Abstract】 There have been a number of discussions concerning the origin, development and application of the independent-director system. It has not been very long since this system was introduced into China from western countries. There are debates about its functions when it is applied in corporation management in China due to the special situations. It is clear that it has some advantages to some extent, however, it also has some disadvantages too. It is argued that this system will benefit China though within limited application areas.
