【Abstract】 The board of directors is the executive organ of company, which is the bond between the shareholders and the company. But because of the lack of information and the behindhand of the supervision, the directors may abuse their power and conduct impairment to the shareholders. So the author of this article thinks it have realistic meanings of perfecting the governance of corporation in our nation to learn from the developed countries and focus on the current situation of our nation and to design the framework of checks and balance inside board of directors.更多还原
