【摘要】 国有资本是企业中由国家作为投资主体形成的资本。国有资本由于委托代理关系而造成所有权治理主体缺位,加上一股独大、资产负债率过高,使企业难以走出困境。因此需要把国有资本进行清晰的产权界定,由债权资本、社会保障资本和国有资本净值三股分立,并分别由相应的代理机构行使所有者权能,形成不同的投资者利益主体,通过国有资本内部结构的调整,推动股东主导型企业治理结构的形成,为企业进一步实现出资者多元化构筑体制平台。更多还原

【Abstract】 It becomes lack of main body for state capital in its ownership management due to its commission;state capital takes the only big share and the rate of getting into debt is too high. An enterprise has to face its plight caused by these three reason mentioned above. Now the property right of the state capital must be divided clearly into three separate shares:the capital of creditor’s rights,the capital of social security and the state capital’s net value with their separate corresponding surrogate organizations which function instead of their owners.Thus,it will form different interest main bodies of investors,promote the formation of management structure of the shareholderdominant style enterprise by adjusting the interior structure of the state capital,and build the systemplatform for achieving pluralistic investors in enterprises.更多还原
