【Abstract】 Indistinct property rights and clan - mode management are institutional features of clan finns. The evolution from clan firm system to modem enterprise system can bring about external profits, which cannot be realized under indistinct property rights and clan - mode management. Therefore, there is a great demand for the evolution. However, the evolution is influenced by its demand and supply, the latter of which is inadequate because of the constraints of such things as institutional designing cost, extant institutional arrangement, standard behavior criteria and constitutional order.
