【摘要】 通过对中国现行破产整顿制度在债权人保护方面的立法进行分析,指出中国的这一制度与国际通行的企业重整制度之间在法律关系、适用主体、法定程序和执行机构等方面存在的差异,以及相关的在立法指导思想、程序构建等方面存在的主要缺陷,提出中国需要进行一次新的重整立法,并就中国在债权人保护方面如何进行重整立法提出了具体的建议。更多还原

【Abstract】 The paper analyzes the corporation reorganization of China in protecting the creditors. It provides the difference between Chinese law and international practice and the main defect in many respects, such as law relation, suitable subject,the due course of law,executive body,and the main defect in legislative guiding theory,procedure structure etc. The author proposed that China needs to carry out brand-new reformation of legislation, and put forward some relevant legislative advices on how to establish the administration procedure.更多还原
