【摘要】 法人分支机构是法人的组成部分 ,具有从属性、区域性、职能性三个特征。在我国民事立法中 ,应当赋予法人分支机构限定性民事主体资格。在民事活动中 ,一般情况下先由分支机构承担民事责任 ;当分支机构的财产不足承担时 ,再由所属法人补充责任。在民事诉讼中 ,法人分支机构具有独立的诉讼主体资格。澄清有关法人分支机构的认识在立法和司法上都有重要的意义。更多还原

【Abstract】 As components of a legal person, the legal person s affiliate has three characteristics of subordinate, region and function. The legal person s affiliate should be granted restrictive qualification of civil subject in civil legislation of our country. In civil activities the affiliate at first undertakes civil liabilities on general occasions; the legal person whom the affiliates belong to undertakes complementary liabilities when the property of affiliates is insufficient to do so. The legal person s affiliate has independent qualification of subject of action in civil actions.
