【摘要】 我国加入WTO后,公司治理结构对我国企业而言越来越重要。我国的公司治理结构主要存在国有股"一股独大"、缺乏有效的经营者激励约束机制等问题,这一系列问题是导致我国公司治理结构不合理的根本原因。针对我国公司治理结构中存在的问题,着重从优化资本结构、引入机构投资者、建立激励机制等方面论述如何完善公司治理结构。更多还原

【Abstract】 Corporate governing structure has become increasingly important since China’s entry into WTO.But in China there are such problems as the state-owned stocks’ dominant position and lack of effective mechanism to stimulate or restrain the operators.These are the main reasons for the irrational corporate governing structure.This paper deals uith the perfection of corporate governing structure from the optimization of capital structure,the introduction of the organization investors and the establishment of the prompting mechanism.更多还原
