【摘要】 公司治理结构在经济学上表现为以界定剩余索取权和控制权为核心的微观利益分配制度 ,在法律上表现为以“三会”为中心的权力安排和制度制衡。董事会骸形化是对公司治理结构的挑战与破坏 ,但其生成却有深刻的制度背景和法律原因 ,对董事会骸形化进行动态矫正 ,需要在多角度分析的基础上 ,进行新的制度安排更多还原

【Abstract】 The right of demanding the sueplus and dorminating the company are the core of the company govermental system in the economics.In the laws,the company govermental system ask the shareholder meeting,board meeting and supervisor meeting to work coordinatly and dividly.The vacant board meeting destory and challenge the company govermental system.Tocorrecte this problem,we must analyze the system cause and the law cause,and design a new system arrngement.更多还原
