【摘要】 随着公司法的发展，董事在公司经营管理中的地位日益突出，相应地其责任亦逐渐加重，故有必要对董事与董事责任的若干问题进行研讨。针对董事责任，我国公司法注重对其行政责任与刑事责任的规定，而对董事的民事责任则规定的过于笼统。董事责任确立的前提之一是明确董事与公司间的法律关系，在我国董事与公司的关系应属委任合同关系；董事责任确立的另一前提是要明确董事义务。董事义务是董事责任产生的基础，而注意义务与忠实义务的并列与统一则是法律对董事义务的基本要求。董事责任就其形式而言，包括对公司的责任和对第三人的责任。更多还原

【Abstract】 With the development of companies, the role of directors in running and managing companies has become more and more important, and their duties turned much heavier correspondingly.So it is necessary to do some studies on the role of directors and their duties. China’s law of conlpilny provides some detailed prescriptions on the administrative and criminal duties of directors, but does not give detailed prescriptions on the civil duties of directors. The article holds the view that one of the prerequisite for setting the duties of directors is to make a clear-cut description of legal relations between the directors and the companies, and the other prerequisite is to make a clear-cut description of duties of directors.更多还原
